1. Agreement to Terms

By accessing or using Partnered ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

2. Description of Service

Partnered is a property management platform designed to help co-owners manage shared properties, track expenses, facilitate contributions, manage agreements, and coordinate property-related activities. The Service provides tools for:

• Property partnership management and organization
• Expense tracking and cost allocation
• Agreement creation and management
• Document storage and sharing
• Financial reporting and analytics
• Partner communication and collaboration

3. User Accounts

To use certain features of the Service, you must create an account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Providing accurate, current, and complete information
• Updating your information to keep it accurate and current

You must notify us immediately of any unauthorized use of your account or any other breach of security.

4. Acceptable Use

5. Subscriptions and Payments

Subscription fees are non-refundable except as required by law. You may cancel your subscription at any time, and the cancellation will take effect at the end of your current billing period.

The Service and its original content, features, and functionality are owned by Partnered and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any content you upload to the Service. By uploading content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display that content solely for the purpose of providing the Service to you.

8. Third-Party Services

The Service may integrate with third-party services, including but not limited to:

• Clerk (authentication and user management)
• Stripe (payment processing)
• Cloud storage providers (document storage)

Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices of these third-party services.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARTNERED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11. Indemnification

You agree to indemnify, defend, and hold harmless Partnered and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may do so by contacting us.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Partnered operates, without regard to its conflict of law provisions. Any legal action or proceeding relating to your access to or use of the Service shall be instituted in a court of competent jurisdiction in that location.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable to the fullest extent permitted by law.
